Apex Cogen's primary mission is development of independent cogeneration and power plant facilities where it can have an ownership interest.
By their very nature, cogeneration facilities typically involve multiple interests. The thermal host where the cogeneration plant is located may be a dairy, brewery, gas processing plant, chemical plant, hospital, wood products manufacturer, oil refinery, paper producer, shopping centre, or cold storage facility. The host may choose to concentrate on its primary business interest, and leave financing, ownership, and operation of a cogeneration plant to an experienced developer.

Flexible ownership solutions. Apex Cogen can take on a variety of roles for the thermal host. It can own a cogeneration plant entirely, and convert supplied fuel into electricity and steam for the host for a fee. Energy savings can thus be realized with no capital investment by the host. At the other end of the spectrum of possibilities, the host can own the cogeneration plant, and Apex Cogen can provide its specialist expertise on a consulting basis, or as the owner's project manager/agent.

Co-ownership is an attractive alternative for many hosts. Indeed, given the inter-twined interests of an operating plant and its energy supply, this may be the best solution to implement cogeneration savings.

Operating synergies and shared savings. Structured properly, such co-ownership arrangements can offer operating synergies, shared savings, and the combined strengths of Apex Cogen and the host. A separate legal entity (a "Project Company") can be established to own the cogeneration plant, much as multiple cost centres may be involved in a host's industrial plant. The project can be financed by the Project Company using non-recourse financing, and savings can be shared by the co-owners. The Project Company can be structured to accommodate outside investors, and allow flow-through tax benefits where applicable.

Apex Cogen is experienced in structuring co-ownership scenarios that weigh the criticality of the host facility's production with the economic interests of electricity sales and thermal energy production. Using the experience of its key personnel, Apex Cogen can structure an arrangement to allow as much host participation in the management of the cogeneration facility as the host desires, and offer considerable technical and financial advise as to the most cost-beneficial arrangement for all stakeholders.
